For overseas clients that do not have resident management teams in Myanmar, we can provide peace of mind by ensuring professional support for corporate services needs in Myanmar, including providing prompt and efficient updates and communications.

Our range of corporate services include:

• Advice on corporate governance and compliance with the Myanmar Companies Law.
• Setting up and maintaining statutory company registers.
• Preparing all prescribed forms and notifications for corporate actions and filing these online via the MyCO electronic company registry system.
• Preparing written resolutions, notices, minutes and other documents to effect and record decision-making by directors and shareholders, including for shareholders’ general meetings.
• Managing changes to company details, including changes relating to:
  • shareholders, directors or auditors;
  • constitutional documents;
  • capital structure (transfer of shares, new share issues, repurchases of shares); and
  • registered office addresses.
• Providing a registered office address in Myanmar (including mail forwarding).
• Opening of bank accounts and managing changes to bank signatories.

Where relevant, we can also provide an annual fixed-fee company secretarial retainer service that covers all of the main company secretarial filings that a company is likely to require each year.

We also off a company secretarial ‘health check’ review, whereby we undertake an initial review of the key company secretarial details and documents for a company and provide a short report on its current status and any identified gaps and remedial measures required.
